Service Agreement
Welcome!
The following Service Agreement (the “Agreement”) will clearly communicate our expectations in working together. If you have any questions, please raise them before signing to make sure we are all on the same page moving forward.
In exchange for agreeing to work together with Firelight Yoga, you agree to be bound by the following conditions.
Contractual Terms
- Parties. This Agreement is made between Firelight Yoga LLC, a Limited Liability Company operating in the State of Oregon (“Firelight Yoga,” “we,” “us,” and “our”) and you, the undersigned (electronically or by hand) or person who has clicked “I Agree” (or something similar) to this Agreement (“you” and “your”).
- Our Commitment to You. We promise to provide you with yoga and fitness instruction services, as outlined on our website (the “Services”). In order to provide the best possible experience, we will also do the following:
2.1 It is our goal to help you achieve and exceed your personal wellness goals. With this in mind, we will strive to provide you with the highest quality Yoga and Fitness Instruction Services to exceed your expectations.
2.2 Our one-on-one programs will be customized to your unique individual needs, goals and abilities, while group programs will take into consideration the current level and general fitness profiles of registered participants.
2.3 Communication is important to us, so we will do our best to clearly communicate with you about any preparation instructions, follow-up information or scheduling details related to your Services.
2.4 Our services are designed to help you prioritize your well-being. We’ll work together to break the cycle of feeling detached and disconnected, so you can live more actively and address any physical or emotional stiffness or stagnation. Through our collaboration, you can expect to cultivate mindfulness, allowing you to appreciate and engage with the present moment more fully, ultimately finding a profound sense of calmness and groundedness. - What We Expect of You. Just as you are investing in us, we are also investing time and energy in you. For you to gain the most from the Services, here are our core values and studio etiquette:
- 3.1 Be Present: Mindfulness First, Honor the Space, Mutual Respect
- 3.1.1 Studio Entry & Timing:
- Arrive on time for class; late arrivals (more than 5 minutes past start time) won’t be admitted.
- Be mindful of where you park, as the onsite lot is for residents only.
- All clients must adhere to our Studio Terms and be courteous and kind; rudeness to staff or instructors will result in being asked to leave.
- 3.1.2 Noise & Devices:
- Please silence your cell phones before entering the lobby and leave them outside the yoga room (lockers/car). Exceptions require the phone to remain silenced and out of sight.
- Be mindful of your voice volume in the lobby, restrooms, and yoga rooms.
- Backpacks and bags must stay out of the yoga room.

- 3.2.1 Interactions & Community:
- Treat others the way they want to be treated; if you aren’t sure, ask.
- Minimize any negative impact on others (e.g., body odor, perfumes, offensive language).
- 3.2.2 Class Flow & Studio Use:
- Stay for the duration of your class. If you must leave early, please communicate with staff and set up your mat closest to the exit.
- Do not kick up into handstands on the mirrors.
- 3.2.3 Sustainability & Safety:
- Minimize your environmental footprint (e.g., brief showers, bring your own water bottle).
- No glass containers in the studio.
- 3.2.1 Interactions & Community:
- 3.3 Be Love: Embody Compassion, Energy is Contagious, Celebrate Diversity
- 3.3.1 Internal Practice & Self-Care:
- Take care of yourself by listening to your body; rest and drink water as needed during class.
- Leave negativity outside; we are here to uplift and support each other.
- 3.3.2 Fostering Community:
- Say “hello” to others to help us foster a warm and welcoming environment.
- Share your love of the practice by inviting others to join you.
- 3.3.1 Internal Practice & Self-Care:
- 3.4 Be Committed: Forever a Student, Community First, Show Up Fully
- 3.4.1 Practice Integrity:
- Follow along with the class as instructed, but feel free to find variations of poses that feel best for your body.
- Practice self-care without comparing or judging yourself or others.
- 3.4.2 Adherence:
- All clients must adhere to studio policies and any applicable public health mandates.
- 3.4.1 Practice Integrity:
- 3.5 Be Grateful: Recognize Practicing Yoga is a Gift, Cherish Your Time Dedicated, Honor One Another
- 3.5.1 Mindset:
- Check your “to-do” list at the front door to allow yourself to be fully present on your mat (body, mind, and spirit).
- Be patient with your practice; where you are today is perfect.
- 3.5.2 Expression:
- Thank your teachers, thank those who are practicing around you, and take a moment to thank yourself for showing up.
- 3.5.1 Mindset:
- 3.1 Be Present: Mindfulness First, Honor the Space, Mutual Respect
- Term and Termination. The term of this Agreement will begin on the date of execution by both parties and will continue for the duration of the Services as agreed upon between you and Firelight Yoga (the “Term”).
- 4.1 For our FLY Unlimited and FLY All Access options, once your initial three-month commitment is complete, either party can terminate this agreement with at least 72 hours notice. Just be sure that your 72-hour notice takes your current billing cycle into account. If you need to end the agreement before the initial three-month period is over, you will still be responsible for all payments as outlined on our website.
- 4.2 For our auto-renewing 5-pack and 10-pack options, you can terminate your agreement at any time. Any unused classes in a 5-pack must be used by the close of the month, and any unused classes in a 10-pack will be valid for 12 months from the date of purchase.
- 4.3 You can cancel your subscription using the same method as you used for sign-up. If unsure, please contact us via email. All cancellations will be actioned within the terms of this agreement. Fees and penalties may apply.
- 4.4 You have a right to cancel this agreement without penalty if written notice is received before midnight of the third (3rd) business day after purchase. If you terminate within this three-day period, Firelight Yoga will refund all amounts you have paid (less any services used) within 15 days.
- 4.5 You have the right to terminate this agreement at any time on the following grounds:
- 4.5.1 Death or Physical Disability: If you die or become physically unable to use a substantial portion of the services, you have the right to cancel. Firelight Yoga may require a physician’s confirmation of the disability.
- 4.5.2 Closure: If Firelight Yoga goes out of business, you can cancel your contract.
- 4.5.3 Relocation of the Facility: If Firelight Yoga’s facility closest to your residence moves to a location more than five (5) additional miles away, you have the right to cancel.
- 4.5.4 Material Change in Services: If Firelight Yoga makes any material change to the services that were promised in your initial contract, you may be able to cancel.
- 4.5.1 Death or Physical Disability: If you die or become physically unable to use a substantial portion of the services, you have the right to cancel. Firelight Yoga may require a physician’s confirmation of the disability.

- Payment. Payment details and costs for the Services are outlined on our website.
- 5.1 Payment Method on File. You can keep a credit card or other method on file with us. By placing a card on file, the cardholder and account holder give permission to Firelight Yoga’s staff to charge the card for any session or recurring auto-debit.
- 5.2 Declined Charge. In the event of a declined payment when charging for monthly payments, your Services will be immediately suspended, pending your updating your payment information and paying the amount due in full.
- 5.3 Chargebacks. It is common for the bank or lender managing the chargeback dispute on your behalf to retain fees and administration costs, resulting in a loss for Firelight Yoga for the services already rendered. You will also be responsible for any fees and administration costs that are taken from us as a result of a chargeback issue that ends with a determination in favor of Firelight Yoga.
- 5.1 Payment Method on File. You can keep a credit card or other method on file with us. By placing a card on file, the cardholder and account holder give permission to Firelight Yoga’s staff to charge the card for any session or recurring auto-debit.
- Fluctuation of Payments. You understand that we reserve the right to change our prices and that in your acceptance of these new prices and continued payment, you continue to be bound to all the terms of this Agreement. We will always provide at least 30 days notice before raising any prices and we will communicate with you to ensure you are aware of any changes.
- Cancellations and Refunds. Integrity and keeping your word are the cornerstones of all success. With that in mind and to ensure fairness and accessibility for all our students, we strictly enforce our class cancellation policy. This allows us to offer open spots to those on the waitlist and maintain the quality of our classes. Our policies are as follows:
- 7.1 Refunds. Our services are non-refundable. Retail items may be considered for a refund if returned unworn with receipt and all sales tags intact, within 15 days of purchase. Retail “sale” items are nonreturnable/nonrefundable.
- 7.2 Cancellation & Reschedule Policy.
- 7.2.1 Cancellation Windows:
- Early Morning Classes: Reservations for classes at 6:00 am and 7:30 am must be canceled before 8:00 pm the night before the scheduled class.
- All Other Classes: Reservations for all other classes must be canceled at least 2 hours before the scheduled class time.
- Special Events & Workshops: The cancellation window for special events and workshops is at least 24 hours prior to the start time.
- 7.2.2 Late Cancellation & No-Show Fees:
- Unlimited Packages: For all unlimited and introductory special packages, a $15 fee will be charged for a late cancellation and a $20 fee for a no-show.
- Class Packages: A late cancellation or no-show will result in the forfeiture of one class from your package.
- 7.2.3 No Exceptions: Our policy is strictly enforced to ensure fairness for all students. We are unable to make individual exceptions.
- 7.2.4 No Refunds: All late cancellation and no-show fees are non-refundable.
- 7.2.5 Fee Processing: No-show fees will be processed automatically 24 hours after the missed class reservation.
- 7.2.6 Rescheduling: You can easily manage your reservations online or through our app. Simply cancel your original booking and rebook at a time that works for you.
- 7.2.1 Cancellation Windows:

- No Guarantees. Firelight Yoga cannot guarantee the success of, or any particular outcome from the Services. We promise to provide you with the opportunity and Services to support you and see you grow, but the success of the Services ultimately depends on you.
- Ownership of Materials. All the content that we have provided to you, including but not limited to videos, documents and PDFs, is for your use only and is not to be re-distributed or re-used.
- Damage to Equipment. You understand that you will be fully responsible for any damage you cause to any equipment we use at our facility, whether such damage occurs intentionally or unintentionally.
- Substitute Services. Firelight Yoga has the right to substitute services. This means that if we ever need to switch to online services or asynchronous virtual offerings due to circumstances beyond our control, we have the right to such a substitution for in-person classes.
- Legal Fees. You will be responsible for any and all legal fees incurred by Firelight Yoga regarding any potential chargeback issues (for example, if you want to issue a chargeback or contest a payment).
- Media Release. By being a participant at our studio and through your Membership or other class package, you agree to grant us the irrevocable right to use your image, likeness, photographs, video content, and audio recordings of you captured in our studio or that you share with us online (via your own or others posting of you) as part of our online streaming, marketing and sales throughout the world and in perpetuity. You also release us from all claims you may have relating to the use mentioned in this section. Please let us know if you ever want us to stop using an image of you.
- Waiver. Before the Services can begin, you must sign our Waiver Agreement form. Please read it and make sure you understand it. You need to sign, or otherwise agree to, that form as well as this Agreement so that we can be absolutely sure you understand and agree to it.
- Force Majeure. Firelight Yoga will not be liable for any failure or delay regarding the Services if such failure or delay is: beyond the reasonable control of Firelight Yoga, could not have been reasonably foreseen or provided against, or due to events such as a pandemic, natural disaster, or other Act of God. In such an event, you will not be entitled to any refunds or recovery.
- Arbitration. Any controversy or claim arising out of or relating to this Agreement or the breach of this Agreement shall be settled exclusively by arbitration. You also agree that should arbitration take place, it will be exclusive to the courts of the State of Oregon or such other arbitrator mutually agreed upon by the parties. The arbitrator’s decision shall be final and binding on both parties and enforceable in any court of competent jurisdiction. The losing party shall bear the costs of the arbitration. The arbitration award shall be final and binding upon the parties, and the parties hereby waive any rights to appeal or challenge the award to the extent permitted by applicable law. This arbitration clause shall survive the termination or expiration of this contract.
- Standard Legal Things. Choice of Laws and Venue. This Agreement will be governed exclusively by the laws of the State of Oregon. The parties agree to irrevocably submit all claims to the exclusive jurisdiction of the courts of the State of Oregon. Severability. If any provisions of this Agreement are invalid or unenforceable, the other provisions in the Agreement will remain in full force and effect. Entire Agreement. This Agreement constitutes the entire Agreement between the parties and replaces any prior agreements. Waiver of Breach. The waiver by Firelight Yoga of any breach by you of any provision of this Agreement will not be taken to be a waiver of any further breaches by you. Counterparts. This Agreement may be signed by any number of counterparts, each of which is an original, and all of which taken together constitute one single document. Online Agreement. We agree that this Agreement may be signed electronically or agreed to by having You click “I Agree,”(or something similar) the effect of which will be the same as if we signed this Agreement by hand and the intention of which is that both parties desire to be bound by all the terms of this Agreement.
